ICR Capital Hires Faiz Khan to Expand Convertible and Equity Derivatives Advisory Business

ICR Capital has appointed longtime Wall Street banker Faiz Khan as managing partner within its Convertible and Equity Derivatives Advisory practice as the firm continues building out its independent capital markets advisory platform.

Khan joins the strategic communications and advisory firm with nearly 25 years of experience advising corporate issuers on convertible securities, structured equity derivatives, share repurchase programs, and other equity-linked financing strategies.

The hire reflects increasing demand for specialized advisory capabilities as companies navigate more complex capital structure management decisions in volatile equity and interest-rate environments.

ICR Chief Executive Officer Anton Nicholas said Khan’s appointment strengthens the firm’s ability to combine transaction advisory services with communications strategy and investor engagement across major capital markets transactions.

Convertible securities and equity derivatives have become increasingly important financing tools for companies balancing capital access, dilution management, and shareholder expectations while navigating uncertain market conditions.

Operationally, issuers increasingly are using structured equity products to manage refinancing risk, optimize balance sheets, fund growth initiatives, and reduce financing costs without relying solely on traditional debt or straight equity issuance.

Khan most recently served as co-head of U.S. Equity Linked & Financing Solutions at Barclays, where he advised companies on convertible issuance, call spread overlays, share repurchases, and other structured capital markets transactions. Prior to Barclays, he held senior equity derivatives origination roles at Deutsche Bank.

ICR Capital said Khan has advised on hundreds of equity-linked transactions, including highly structured and complex financing arrangements involving large-cap and growth-oriented issuers.

The firm’s Convertible and Equity Derivatives Advisory business is part of a broader strategy to position ICR as an integrated advisory platform combining transaction execution support, investor communications, market intelligence, and strategic advisory services.

Head of Convertible and Equity Derivatives Advisory Raj Imteaz described Khan as one of the most experienced convertible bankers in the market, particularly in structuring and issuer advisory work.

The broader capital markets advisory landscape has become more competitive as companies seek independent advice outside traditional underwriting banks, particularly for transactions involving liability management, structured financing, or activist-sensitive capital decisions.

At the same time, communications strategy increasingly is being integrated directly into financing execution as issuers attempt to manage investor perception, equity volatility, and market positioning during major capital events.

Khan said he was drawn to ICR’s independent advisory model and its ability to integrate capital markets execution support with strategic communications and investor insight.

ICR said it has advised on more than 20% of U.S. IPOs valued above $100 million since 2019 and has worked on transactions totaling more than $60 billion since 2020.

For advisory firms operating in equity-linked markets, differentiation increasingly depends on combining technical structuring expertise with broader strategic guidance around shareholder messaging, market timing, capital allocation, and long-term equity value management.
