Software Debt Refinancing Crisis: $330 Billion Matures by 2028 – News and Statistics

According to Bloomberg, a significant volume of debt in the software and technology sector is scheduled for repayment in the coming years. More than $330 billion tied to high yield, leveraged loan, and business development company debt is maturing through 2028, with a substantial portion linked to companies held by private markets.

Firms seeking to refinance this debt in the near term are confronting several obstacles. These include concerns that advancements in artificial intelligence could diminish the value of existing software products, as well as the potential for increased borrowing costs influenced by geopolitical tensions. Some private credit funds are reportedly declining new software borrowers as they aim to reduce their sector exposure, and several planned sales of software companies by private equity firms have been halted.

Analysis indicates that software borrowers from private credit often carry higher leverage and rely more heavily on projected growth than borrowers in other industries, increasing their vulnerability to market disruptions.

Private market managers directed hundreds of billions of dollars into software investments over the past fifteen years. Their strategy was predicated on the expectation that software-as-a-service models would deliver strong growth and consistent cash flow. This focus intensified over time, with software and technology services representing approximately half of all private equity deal activity in recent periods, significantly more than any other sector.

For many years, this concentrated strategy delivered returns that exceeded market averages for funds with technology exposure. However, the performance advantage has diminished as capital flooded into the industry. The period of low interest rates following the pandemic further accelerated investment, driving valuations to high levels and leading to a peak in merger and acquisition activity by private equity and venture firms in 2021.

Many of those transactions are now underperforming. A lack of hedging against rising interest rates led to substantially higher borrowing costs and has raised questions about asset valuations. Concurrently, rapid progress in artificial intelligence tools over the last year and a half has introduced new uncertainties, making heavy concentration in a single industry appear riskier. Despite these challenges, numerous private market managers maintain a belief in the long-term resilience of their software holdings.
